General Terms and Conditions
1 Applicability
The Terms and Conditions govern the contractual relationship between Rüegg Management GmbH and an end customer.
The terms and conditions apply in particular to advertisements. By concluding the contract, the customer accepts the following General Terms and Conditions in full and without change. The GTC form an integral part of all offers and contracts. Collateral agreements, amendments or additions to the GTC shall only become effective upon written confirmation.
2 Conclusion and processing of contracts
In principle, orders are communicated to the advertiser by means of an order confirmation. The signed order confirmation must be returned to Rüegg Management GmbH. Orders can also be expressly placed verbally / by telephone, whereby the contract is legally valid.
3. duration
Unless expressly agreed otherwise and regulated in the order confirmation, the offer refers to a one-time placement of the advertisement without repetition.
4. data delivery
The required data (desired company logo in .svg .pdf or .eps format) must be sent to Rüegg Management GmbH within two working days of signing the order confirmation.
5. approval for printing
A print approval will be sent to the customer by e-mail. Advertisements will not be published without express confirmation from the customer and completed payment. The "good for print" only ever applies to the respective advertising advertisement (playing field and playing cards) of the contractual partner/end customer. The remaining design of the commercial game is determined by Rüegg Management GmbH.
6. terms of payment
a.) The advertising rates agreed with the sales department shall apply, plus VAT.
b.) For all dispositions, invoices are payable within 10 days without discount, unless otherwise agreed. The claim becomes due after the payment period has expired without any further reminder. Any field reservation only becomes legally binding upon payment!
c.) The reminder costs from the second reminder onwards amount to CHF 25. We expressly reserve the right to claim any further costs for reminder and collection fees as well as other expenses from the advertiser.
7 Liability and warranty
Rüegg Management GmbH guarantees the careful provision of its services. Please note the production anddelivery time of at least 3 months after the start of production. Every customer will be informed by e-mail as soon as production starts. Warranty rights do not apply if the customer is at fault. The advertiser is obliged to notify Rüegg Management GmbH immediately of any defects that occur, in particular incorrect appearance or non-appearance of the advertisement. Rüegg Management GmbH shall not be liable for damages resulting from late notification of defects. In no event shall Rüegg Management GmbH be liable for (i) slight negligence, (ii) indirect and consequential damages and, to the extent permitted, loss of profit, (iii) damages resulting from delay in delivery and (iv) any acts and omissions of auxiliary persons of Rüegg Management GmbH, whether contractual or non-contractual. Rüegg Management GmbH is entitled to compensate for any errors in delivery by granting advertising space in a future publication instead of paying compensation. This is subject to the case in which the advertiser expressly declares when concluding the contract that he is bound to a fixed date for the publication of the advertisement. The liability of Rüegg Management GmbH is in any case limited to the advertisement prices agreed with the advertiser. No further services will be provided.
8th edition
The circulation of a realization consists of at least 700 games per municipality/region/city. There are no additional costs for participants in the event of a repeat order.
9 Cancellation of orders
Contracts are in principle binding for both parties, even if they are only concluded verbally. Cancellation and postponement of publication dates is only possible up to a maximum of five days after signing the order confirmation. Cancellations must be made in writing (by post). If confirmed orders are canceled, 25% of the quoted price may be charged as compensation. If an order is canceled more than five days after the order confirmation has been signed, the advertiser shall owe Rüegg Management GmbH the entire agreed price.
10 Responsibility for the content of the advertisements
The advertiser is responsible for the content of the advertisements (logo). He declares that he complies with the relevant legal provisions, guidelines and association rules of the industry and is responsible for this vis-à-vis Rüegg Management GmbH.
Rüegg Management GmbH expressly reserves the right to reject business logos without giving reasons. The advertiser shall be liable to Rüegg Management GmbH without limitation for damage caused by unlawful intent or gross negligence.
11 Intellectual property rights
Rüegg Management GmbH does not acquire any intellectual property rights to the advertisements provided to it by the advertisers. Use is limited to the agreed purpose in accordance with the order confirmation. Rüegg Management GmbH is under no obligation to retain the advertisement templates. It shall be entitled to delete the documents once the order has been completed.
12. further provisions
The GTC shall apply in the version valid at the time the contract is concluded. Rüegg Management GmbH expressly reserves the right to amend the GTC at any time and to bring them into force without prior notice. Amendments will be made accessible via the Gewerbe-Spiel.ch website. Advertisers are required to take note of the latest GTC before concluding a further contract, even in the case of a long-standing business relationship.
Unless explicitly agreed otherwise, communications between the contracting parties shall be made in writing. Notifications by e-mail shall be deemed equivalent to the written form. The undersigned person confirms that he/she is legally authorized to represent the customer. Furthermore, they confirm that they have read and approved all provisions of these GTC.
Swiss law shall apply. The place of jurisdiction for all disputes arising from this contract is the registered office of Rüegg Management GmbH.
These GTC come into force on 01.05.2021 and replace all previous versions.
